Promotion Overview

Studio Publications Inc. (SP) will be conducting the �Hustler & Lawless Fantasy Football League� (HNL) at the internet address http://www.netcommish.com/leagues/football/hustlernlaw and at the Upperdeck Sports Bar at McPhillips Station Casino (MSC) from September 10, 2009 to January 3, 2010.

The promotion is open to all persons 18 years of age or older with a valid e-mail address, with the exception of:
� SP and Manitoba Lotteries Corporation (MLC) staff or family members (see Rule #1)
� Persons voluntarily or involuntarily excluded from the Casinos of Winnipeg (see Rule #3)

To qualify, all participants must complete a registration form to enter a team in accordance with HNL Fantasy Football League settings (see League Configuration sections for details). Participants can register in either of the following ways:

� IN-PERSON at the Upperdeck Sports Bar at MSC on Thursday, September 10, 2009 at approximately 6:00 p.m.; or
� ONLINE at http://www.net-commish.net/leagues/football/hustlernlawl commencing on Friday, September 11, 2009 at 12:00 p.m. (after all in-person entries received at the Upperdeck Sports Bar on September 10, 2009 have been entered) until January 3, 2010.

There will be a total of 37 prizes available as follows (see Available Prizes section for details):
� Weekly prizes awarded for the top points gained from the previous Game Week ($100 each week);
� Weekly prizes awarded for attaining the top score in the HNL Fantasy Football League at the end of a Game Week ($100 each week)
� Prizes for the top 3 overall scores from the entire regular season (1st place: $1,000; 2nd place: $350; 3rd place: $250)

Participants may only enter one team in the HNL Fantasy Football League (i.e. one team per person).

There is no purchase necessary to participate in this promotion.

All participants in this promotion must meet all eligibility requirements as stipulated in this Promotion Overview and Rules & Regulations.

League Configuration

Player Draft

The HNL Fantasy Football League live draft will take place on Thursday, September 10, 2009 at 6:00 p.m. at the Upperdeck Sports Bar at MSC. Draft booklets will be provided to all participants in attendance at the Upperdeck Sports Bar. Participants will provide their full name, mailing address, valid e-mail address and select a team in accordance with the League Settings. Incomplete entries will be considered void.

Player Draft (continued)

SP will enter participant information received from the live draft on
http://www.net-commish.net/leagues/football/hustlernlawl by 11:00 a.m. on Friday, September 11, 2009.

The online draft will commence on Thursday, September 11, 2009 at 12:00 p.m. until January 3, 2010 at http://www.netcommish.com/leagues/football/hustlernlaw. The online draft will commence only after those entries from the live draft have been entered. Participants will provide their full name, mailing address, valid e-mail address and select a team in accordance with the League Settings. Incomplete entries will be considered void.

A celebrity draft will be conducted by SP on September 10, 2009 and will be available only by invitation from SP. All participants in the celebrity draft will form a Celebrity Division, subject to League Settings and Rules & Regulations. Participants in the Celebrity Division are not eligible to receive any of the available prizes.

If a participant registers a team after a Game Week has commenced, that team will not begin its season until the start of the following Game Week.

League Settings

� League type: Salary Cap Total Points
� Teams in a league: no maximum
� Teams in a division: No Maximum (belonging to a specific division has no bearing on prize award other than to break a tie)
� Maximum weekly roster size: 9
� Starting roster: 1 QB; 3 WR; 2 RB; 1 TE; 1 K; 1 DEF/ST
� Weekly salary cap: cannot exceed $75
� Maximum player acquisitions: None - players can be acquired each week, as long as the team salary cap is not exceeded
� Trades - none
� Playoffs: This is a non-playoff league
� Bye weeks: None � participants can activate or choose players who are not on a Bye Week
� Fractional yardage points: Yes
� Negative yardage points: Yes

Point Accumulation

The objective of the promotion is to generate the largest amount of points for the team selected by each participant. Points are associated with outcomes from the 2009 U.S. professional football regular season.

As the initial draft is occurring on the opening night of the 2009 U.S. professional football regular season (Thursday, September 10, 2009), a retroactive points update will occur for the teams playing on this night only.

If a participant joins the HNL Fantasy Football League after the start of the 2009 U.S. professional football regular season, points will not be retroactively awarded for any players selected (except as indicated in the previous paragraph). Participants will only obtain points for U.S. professional football regular season contests which begin and are played after the initial draft has taken place.

Points are only accumulated for active players on the participant�s roster.

Offensive Statistics & Point Modifiers
� Every 25 passing yards: 1 point
� Each passing TD: 6 points
� Each interception thrown: -1 points
� Every 10 rushing yards: 1 point
� Each rushing TD: 6 points
� Every 10 receiving yards: 1 point
� Each receiving TD: 6 points

� Each offensive fumble return for a TD: 6 points
� Each 2-point conversion: 2 points
� Each fumble lost: -2 points

Team Roster

The deadline to complete your roster for each Game Week is 10:00 a.m. every Sunday during the 2009 U.S. professional football regular season for that specific weeks games.

Each participant may only add players to their active roster for the current week if the transaction is completed no later 10am CST.

Team Roster (continued)

Each participant is not required to start a player at every roster position, but fantasy points and statistics will only be accumulated by those players on each participant�s starting roster.

Players are only eligible to play at those position(s) designated by their position listed by their U.S. professional football team.

Points coming from categories not normally associated with a player`s position are not counted in a player`s point total. For example, if a kicker throws for a touchdown, they will not be credited with six points for a passing TD, but if your receiver catches the ball, they would receive six points associated with a receiving TD.

All participants can set their rosters at any time in advance. They are not required to change players each week, although if the participant�s players are in a Bye week, they will not accumulate any points.

Tie Break System

In an effort to determine the winner of an available prize, if two or more players finish with the same number of points, the following system will be used to break the tie:

1) Head to Head wins
2) Year to date points
3) Division wins
4) Coin toss by HNL Fantasy Football League Commissioner in the presence of the participants involved in the tie

Fair Play & Sportsmanship

Although fantasy games are meant to be a competitive experience, it is important that participants do not lose sight of the rules of fair play and good sportsmanship. To this end, each HNL Fantasy Football League participant agrees that, by joining the promotion, they will abide by the following regulations:

� All league-related transactions will be executed with the intent of improving the participant`s team and / or its standing within the league.
� No participant may drop or `dump` players from their team for any reason other than improving their own team and/or its standing within the league.
� No participant will engage in any action that may be deemed to be collusive (two or more participants agreeing to make moves that benefit one team, but not the other).
� No participant will make any roster moves whose sole purpose is to hamper the play of other participants.
� No participant will take any action whose purpose is to, in any way, interfere with fair play in the league.

While the HNL Fantasy Football League Commissioner will not remove participant�s teams from the league after they have drafted, any failure to follow all of the items listed above may result in the limitation or removal of playing privileges for the offending participant. These restrictions may include:

� The suspension of specific game privileges (message board posting, etc.) for the remainder of the season.
� The suspension of ALL playing privileges for the remainder of the season.
� Any other action that the HNL Fantasy Football League Commissioner, at its sole discretion, feels is necessary to restore fair play to the league.

Disputes

It is the responsibility of participants to monitor activity within the league. If, as a participant, you notice any suspicious or collusive activity in the league, please notify the HNL Fantasy Football League Commissioner immediately.

Available Prizes

There is a total of $5,000 in prizes available to be won in the HNL Fantasy Football League.

The HNL Fantasy Football League Commissioner or an authorized representative will award all prizes. All winners will receive a cheque payable to the name of the participant (based on the name provided by the participant at the time of registration).

Weekly Prizes:

� There will be one prize of $100 cash awarded to the participant with the largest point total in the HNL Fantasy Football League at the end of each Game Week. $100 x 17 Game Weeks = $1,700 cash

� There will be one prize of $100 cash awarded to the participant with the largest gain in points from the previous Game Week. $100 x 17 Game Weeks = $1,700 cash

Total Weekly Prizes available: $3,400 cash

Weekly prizes will be awarded on each Sunday of the 2009 U.S. professional football regular season, commencing with the awarding of Game Week #1 winners on Sunday, September 20, 2009 at the Upperdeck Sports Bar at McPhillips Station Casino (see following schedule).

Odds of being selected as a weekly winner are dependent on the players selected and their performance-based scores attained throughout each Game Week (see League Configuration section for details).

Regular Season Prizes:

There will be a total of three prizes awarded to the teams which accumulate the three largest point totals in the HNL Fantasy Football League during the entire promotion period of September 10, 2009 to January 3, 2010. These prizes will be awarded in the Upperdeck Sports Bar at McPhillips Station Casino on Sunday, January 10, 2010 between 4:00 p.m. and 5:00 p.m. The prizes are as follows:

1st Place: $1,000 cash
2nd Place: $350 cash
3rd Place: $250 cash

Total Regular Season Prizes Available: $1,600 cash

Odds of being selected as a regular season winner are dependent on the players selected and their performance-based scores attained throughout the period September 10, 2009 to January 3, 2010.

Rules & Regulations

1. Studio Publications (SP) and Manitoba Lotteries Corporation (MLC) employees and members of their families, as defined by MLC policy, are not eligible to participate in this promotion. Family is defined by MLC as: father, mother, brother, sister, spouse (including common-law spouse), child or ward of an employee. In the event an SP or MLC employee or family member does participate in the promotion, any prizes won will be forfeited.

2. All participants must be 18 years or older.

3. Persons under voluntary or involuntary exclusion are not permitted in the Casinos of Winnipeg and therefore may not participate in this promotion for the duration of the exclusion.

4. All participants must possess a valid e-mail address to participate in this promotion.

5. Upon registration, all participants will be required to confirm they are in compliance with Rules #1, 2, 3 and 4.

6. The HNL Fantasy Football League Commissioner is responsible for all league activities and his decision regarding expressed concerns, disputes or prize awards will be final.

7. Participants must provide their full name, mailing address and valid e-mail address when registering for this promotion. Incomplete entries will be considered void.

8. Participants may only enter one team in the HNL Fantasy Football League (i.e. one team per person).

9. All winners will be notified via e-mail (based on the e-mail address provided by the participant at the time of registration).

10. Prior to receiving their prize, each winner must present valid identification. Valid identification may include:
� Photo ID: driver`s license, MLCC photo ID, Canadian Forces ID, Canadian Firearms Possession & Acquisition License, Aboriginal Treaty Card, Passport or Travel Visa, Canadian Citizenship card, CNIB Identity Card, Manitoba Enhanced Identification Card; or
� Non-Photo ID: Birth Certificate and Provincial Health Registration Certificate presented together

11. Prior to receiving their prize, each winner must sign a declaration to demonstrate they are in compliance with these Promotion Overview and Rules & Regulations, and that they have received their award and have no further claims to any prizes, other than that being awarded, against the HNL Fantasy Football League, Commissioner, Players, Sponsors or other related companies, individuals, or groups.

12. All prizes must be accepted as awarded, no substitutions. Prizes are non-transferable.

13. Winners are not permitted to appoint a proxy to claim their prize.

14. If a winner does not claim their prize within 4 weeks of being notified, the prize will not be awarded and Studio Publications is under no obligation to award any subsequent prizes.

15. SP and the MLC reserve the right to determine eligibility, disqualify participants and forfeit prizes if participants are not in compliance with the Promotion Overview and Rules & Regulations (as deemed acceptable criteria fulfillment by SP and MLC).

16. SP is not responsible for commencing, continuing or completing any promotion or awarding prizes in the event of circumstances beyond SP�s control. SP may, at its sole discretion, change or alter any promotion or prize, as SP deems necessary.

17. It is the participant�s responsibility to notify SP of any changes to their personal information and / or status.

18. SP and MLC are not responsible for operational errors or malfunctions with respect to the HNL Fantasy Football League.

19. SP and MLC and its respective directors, employees and agents are not liable for any claims, damages, losses, costs, or expenses the participants and winners may incur while taking part in, or resulting from participation in this promotion.

20. No other companies listed or sponsoring the HNL Fantasy Leagues have any ownership in the Leagues. All sponsors of the Leagues are contractual in nature only, and no ownership or control is deemed to be implied or levered at anytime. This means that at no time are sponsors responsible for the actions of the Leagues or its owners. At all times, the League will operate within the rules of the NFL, NHL, MLB, PGA, or other professional sports league that the Fantasy League is operating for. Fair play, sportsmanship and adherence to a strict code of conduct related to ethics and morals will be undertaken at all times by the participants, teams, sponsors, and League owners or representatives.

21. All time requirements as stated in the Promotion Overview and Rules & Regulations reflect Central Standard Time.

22. This personal information is being collected by SP for the management and accounting of the HNL Fantasy Football League. Information provided may also be used by SP to communicate similar types of promotions, or promotional opportunities as provided by sponsors or partners of SP.
